The Zaynex Terms & Conditions outline the commercial, operational, and legal guidelines governing access to digital software, web platforms, and engineering services provided by Zaynex.
Zaynex provides digital engineering and technology services, including website development, custom software, SaaS platforms, web applications, dashboards, business systems, ERP and LMS solutions, UI/UX design, integrations, maintenance, consulting, and related digital services. The specific services, deliverables, specifications, fees, milestones, timelines, and responsibilities for each engagement are defined in the applicable proposal, quotation, statement of work, order, or service agreement.
Clients are responsible for reviewing project requirements, specifications, pricing, timelines, deliverables, assumptions, and exclusions before approving a project. Approval may be provided through a signed agreement, written confirmation, electronic acceptance, payment, or another method expressly accepted by Zaynex. Once approved, the applicable project terms form the basis of the engagement.
Clients and users must use Zaynex services lawfully and responsibly. The following activities are prohibited:
Clients retain responsibility for the legality, accuracy, ownership, and authorization of content, data, trademarks, images, documents, software, credentials, and other materials supplied to Zaynex. Clients represent that they have the necessary rights and permissions for Zaynex to use such materials solely for providing the contracted services.
Subject to full payment of all amounts due for the applicable project, ownership of custom client-specific deliverables will transfer to the client to the extent specified in the applicable project agreement. Zaynex retains ownership of its pre-existing technology, reusable components, frameworks, libraries, development tools, templates, methodologies, know-how, internal systems, utilities, and other materials not created exclusively for the client. Third-party software and services remain subject to their respective licenses and terms.
Projects may depend on third-party services such as hosting providers, cloud platforms, payment processors, domain registrars, APIs, analytics platforms, plugins, software libraries, and other external providers. Zaynex may configure or integrate such services but does not control their availability, pricing, policies, security, functionality, or future changes. Third-party services remain subject to their own terms and policies.
Minor revisions that remain within the approved project scope may be included according to the applicable agreement. New features, additional pages, major design changes, architectural changes, new integrations, expanded functionality, or other work outside the agreed scope may require a separate estimate, additional fees, and revised delivery timelines. Zaynex is not obligated to perform out-of-scope work until the applicable additional work is approved.
Project timelines are estimates unless expressly guaranteed in writing. Delivery may depend on timely client feedback, approvals, content, credentials, payments, third-party services, and other dependencies. Client delays may result in corresponding changes to delivery dates. A milestone may be considered accepted where the client expressly approves it or, where applicable, uses or proceeds with the delivered work without raising a material issue within the agreed review period.
Where Zaynex provides or manages hosting, deployment, infrastructure, monitoring, or related services, such services are subject to the capabilities and availability of the relevant infrastructure providers. Zaynex does not guarantee uninterrupted availability unless an applicable service-level agreement expressly provides otherwise. DNS failures, cloud outages, domain issues, third-party incidents, internet failures, force majeure events, and other events outside Zaynex's reasonable control may affect availability.
Zaynex applies commercially reasonable technical and organizational measures appropriate to the services being provided. However, no internet-connected system can be guaranteed to be completely secure. Clients remain responsible for securing their own accounts, devices, credentials, third-party services, and information supplied to Zaynex. Where personal or regulated data is processed, the parties' applicable privacy obligations and data-processing arrangements will apply.
Each party may receive confidential information belonging to the other party. The receiving party will use reasonable measures to protect confidential information and will not knowingly disclose it to unauthorized persons except where disclosure is required by law, necessary to perform the applicable services, or otherwise authorized by the disclosing party. Confidentiality obligations do not generally apply to information that is publicly available without breach, independently developed, lawfully obtained from another source, or already known without confidentiality restrictions.
Zaynex will perform contracted services using commercially reasonable professional and technical practices. Except where expressly stated in writing, services and deliverables are provided without guarantees of uninterrupted operation, particular business results, revenue, search-engine rankings, compatibility with every third-party system, or fitness for a particular purpose. Any specific warranty or support period must be stated in the applicable project agreement.
To the maximum extent permitted by applicable law, Zaynex will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from the services. Subject to mandatory applicable law and the applicable agreement, Zaynex's aggregate liability relating to a particular service will not exceed the fees actually paid to Zaynex for the affected service.
To the extent permitted by applicable law, the client is responsible for claims arising from unlawful client-provided content, unauthorized use of third-party materials, violation of third-party rights, misuse of Zaynex services, or instructions supplied by the client that cause Zaynex to violate applicable law or third-party rights. Where legally applicable, the client agrees to reasonably cooperate with Zaynex in responding to such claims.
Zaynex may temporarily suspend affected services where reasonably necessary because of serious security risks, unlawful activity, abuse, non-payment, compromised credentials, infrastructure threats, or violations of applicable agreements. Where reasonably practicable, Zaynex will provide notice and an opportunity to resolve the issue before suspension, except where immediate action is necessary to protect systems, users, or third parties.
Either party may terminate a project or ongoing service in accordance with the applicable project agreement. Termination does not eliminate payment obligations for services already performed, approved milestones, committed third-party costs, or other amounts properly due. Upon termination, each party will comply with applicable obligations concerning confidential information, intellectual property, data, access credentials, and outstanding payments.
Refunds and cancellations are governed by the applicable Zaynex Refund Policy and the specific terms of the relevant project agreement. Nothing in these Terms is intended to remove or restrict any mandatory refund, cancellation, consumer-protection, or other legal right that cannot lawfully be excluded.
Unless the applicable project agreement states otherwise, Zaynex may identify completed work in its portfolio and marketing materials after public launch, provided that confidential information, private credentials, sensitive business information, and other protected materials are not disclosed. Clients may request reasonable confidentiality restrictions before project completion.
Zaynex will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government actions, widespread internet or infrastructure failures, cyberattacks, major third-party outages, telecommunications failures, strikes, or other comparable events. Where reasonably possible, Zaynex will take reasonable steps to mitigate the effect of such events.
Zaynex may update these Terms from time to time to reflect changes to its services, technology, business practices, or legal requirements. Material changes will be communicated through appropriate channels where required. The terms applicable to a particular project will generally be those incorporated into the applicable project agreement, subject to mandatory applicable law.
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable by a competent authority, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue to operate to the extent permitted by applicable law.
A failure or delay by either party to exercise a right under these Terms does not constitute a waiver of that right. Any waiver must be made through an appropriate written or otherwise legally valid communication.
The governing law, dispute-resolution procedure, jurisdiction, or arbitration arrangements applicable to a particular project will be determined by the applicable project agreement, subject to mandatory applicable law. Where no separate written arrangement applies, disputes will be handled through the legally available dispute-resolution process applicable to the parties and transaction.
Nothing in these Terms excludes or limits liability, rights, remedies, warranties, consumer protections, privacy rights, intellectual-property rights, or other protections that cannot legally be excluded or limited under applicable law.
Project notices, billing communications, support requests, cancellation requests, and other formal communications should be sent through the official Zaynex contact details provided on the Zaynex website, applicable project agreement, or invoice. Clients are responsible for keeping their contact and billing information current.
